-
Acceptance and Agreement. This Application and Agreement, when properly executed by Applicant and accepted by Organizer (“Agreement”), constitutes a valid and binding agreement between the Organizer and the Applicant for Applicant to license exhibit space or booth(s) at the Event. Applicant’s electronic acceptance of this Agreement, including by checking an acceptance box, typing its name, or clicking a submit or payment button, constitutes Applicant’s signature and has the same force and effect as a handwritten signature. Organizer’s acceptance may be given by written or electronic confirmation. In the event of any conflict between these Terms and Conditions and any terms inserted by the Applicant, these Terms and Conditions shall govern. Organizer reserves the right to accept or refuse, in its sole discretion, any application for participation in the Event. In the absence of Organizer acceptance, Organizer incurs no obligations hereunder, except to refund any amounts paid with an application that Organizer refuses. Applicants who have not participated in a prior event held by Organizer similar to that of the Event may be required to submit a description of the nature of their business and the items intended to be exhibited.
-
Assignment of Space. Upon acceptance, Organizer will attempt to place Applicant in a requested space and location, but no guarantee can be given as to the ultimate location of the Applicant until at least 75% of the exhibit space has been sold. Space will be allocated on a first-come, first-served basis. Organizer reserves the right to move locations of Event participants, from time to time, in order to allow companies already signed up for the show to increase their space if necessary, or for any other reason. Organizer in its sole discretion reserves the right to add, alter, or delete from the floor plan at any time. Should circumstances make it necessary, in Organizer’s sole discretion, it may move an already allotted space from one place to another, reduce the size of the space, close or alter the location of any exits or entries, carry through any structural alterations, or make any other changes it deems appropriate in its sole discretion. If the contracted space is reduced by such changes, Applicant’s fee will be adjusted proportionately. Organizer shall not be liable for errors in acceptance of application or allocation of space.
-
Date(s) of Event. Event dates are stated above. Organizer has the right to postpone, shorten, or cancel the Event. In the event of postponement or shortening of the Event, this Agreement shall be deemed valid for the new dates and duration and confers no right on the Applicant to withdraw from the Agreement. If Organizer cancels the Event for any reason other than a Force Majeure Event, Organizer’s sole liability shall be to refund the amounts Applicant has paid under this Agreement. If the Event is canceled by Organizer, the Agreement will be terminated with no liability to Organizer except that Organizer shall be obligated to refund fees paid by Applicant, as required by the provisions of Section 18.
-
Application for Space and Terms of Payment. Application for exhibit space is made by electronically accepting this Agreement and paying the deposit (or, for applications submitted after May 1, 2027, the full Total Cost) specified above through Organizer’s online registration system. APPLICATIONS WILL NOT BE CONSIDERED IF NOT ACCOMPANIED BY THE REQUIRED DEPOSIT. All late payments shall bear interest at the lesser of the rate of 1% per month or the highest rate permissible under applicable law, calculated daily and compounded monthly. Applicant shall also reimburse Organizer for all costs incurred in collecting any amounts due or otherwise enforcing this Agreement, including reasonable attorneys’ fees. In addition to all other remedies available under this Agreement or at law (which Organizer does not waive by the exercise of any rights hereunder), Organizer shall be entitled to deny Applicant access to the Event if Applicant fails to pay any fees when due hereunder and such failure continues for 5 days following written notice to Applicant. Applicant may not withhold or reduce payment by virtue of any claims against Organizer in connection with this Agreement. If Applicant is in breach of any of its obligations under this Agreement, Organizer has the right to terminate this Agreement without liability to Applicant. Upon any such termination, Applicant shall forfeit all amounts paid, shall remain liable, as liquidated damages, for the full Total Cost, and Organizer may re-license Applicant’s space.
-
Withdrawal from Participation. Withdrawal from the Event is possible only under the following conditions: If notification of withdrawal and reason for withdrawal are submitted in writing and received by Organizer more than 60 days prior to the Event, Applicant will, as liquidated damages, forfeit the deposit, which is non-refundable, and shall have no further liability for the remaining balance of the Total Cost. If notification of withdrawal and reason for withdrawal are submitted in writing and received by Organizer within 60 days prior to the Event, Applicant remains, except as otherwise set forth in this Section 6, fully liable, as liquidated damages, for the Total Cost set forth above, plus any extra costs incurred by Organizer as a result of the withdrawal (including, but not limited to, any structural changes to the Event floor plan or relocation of other participants necessitated by the cancellation). Organizer may, but shall not be obligated to, resell canceled space to another applicant but will give priority to filling any still-available space before attempting to re-license Applicant’s space. No refunds of any kind will be made for withdrawal within 60 days of show opening, even if Organizer succeeds in reselling the canceled space to another applicant.
-
Rules and Regulations. Applicant will abide by all rules and regulations regarding the construction, maintenance, and tear-down of the exhibit space, as well as any rules and regulations promulgated, from time to time, by Organizer or the Venue. Organizer reserves the right to determine the suitability and appropriateness of all exhibits and the attire and conduct of all exhibit personnel and to regulate the same at its sole discretion. Applicant must provide the necessary safety items to protect attendees, other exhibitors, and all others from operable equipment or from any other material, processes, or operations that might cause bodily harm. Applicant will not use any copyrighted music or dramatic materials or any other property owned by a third party without first obtaining licenses for the use of the same. Applicant will not discriminate against any person in connection with admission to its booth, services rendered, or privileges offered on the basis of race, creed, ancestry, sexual orientation, disability, color, sex, marital status, age, religion, or national origin. Applicant shall use any attendee contact information or lead-retrieval data it obtains at the Event only for its own business purposes and in compliance with all applicable privacy, data protection, and anti-spam laws, and shall not sell, rent, or otherwise disclose such information to any third party. Any attendee list or registration data provided by Organizer remains Organizer’s confidential property and may be used only as Organizer permits in writing.
-
Event Management, Exhibit Construction, and Tear-Down. Organizer will manage and coordinate all aspects of the Event space and may appoint any subcontractors or outside sources of supply as it deems fit to assist it in carrying out this responsibility. APPLICANT SHALL NOT UTILIZE THE SERVICES OF ANY THIRD-PARTY CONTRACTOR WITHIN THE CONFINES OF THE EVENT SPACE UNLESS AUTHORIZED BY ORGANIZER. Set-up and tear-down hours are listed in the Event Manual issued by Organizer in accordance with Section 23 of this Agreement and are subject to change, upon notice to Applicant. If Applicant is not set up by the time specified in the Event Manual, Organizer reserves the right to re-assign the allocated space to another applicant or to make other use of the space as it deems appropriate, in its sole discretion. The cost for any such re-assignment or allocation will be solely Applicant’s responsibility. Exhibits are to be kept intact until the Event ends, as listed in the Event Manual. Applicant shall not remove any part of an exhibit during the Event without prior written permission from Organizer. All exhibits must be dismantled and removed from the facility by 10:00 p.m. (local time) on June 10, 2027. Applicant shall have an authorized representative on-site during set-up and dismantling periods to oversee exhibit materials, receipt, and shipment.
-
Quality, Character, and Construction of Exhibit. Applicant shall cause its exhibit to display its products or services tastefully as determined by Organizer in its sole discretion. Applicant shall limit its advertising, marketing, and distribution of samples and printed materials of any kind to its own exhibit space. Applicant shall not, without Organizer’s prior written consent, hold or sponsor any meeting, reception, demonstration, class, or other event for Event attendees during the official hours of the Event, whether at the Venue or elsewhere in Las Vegas. The aisles, passageways, and overhead spaces remain strictly under Organizer’s control, and no exhibit materials or equipment, including, but not limited to, signs, decorations, banners, advertising materials, and special exhibits, are permitted in any of these spaces without Organizer’s express, written permission. Applicant shall construct its exhibit in conformity with law, the Venue’s rules, and any additional and specific rules set forth in the Event Manual issued in accordance with Section 23 of this Agreement. Applicant shall change or alter its exhibit at the request or instruction of Organizer or the Venue. Organizer reserves the right to reject or later remove an exhibit based on, without limitation, Applicant’s failure to (a) initially construct its exhibit in conformity with all applicable laws, terms, and rules or (b) subsequently obey instructions pertaining to the exhibit’s quality, character, or construction. Organizer reserves the right to restrict or remove any exhibit that Organizer, in its sole discretion, believes is objectionable or inappropriate. Without limiting the foregoing, Applicant is solely responsible for ensuring that its exhibit is accessible to persons with disabilities, as required by the Americans with Disabilities Act, and shall indemnify and hold Organizer harmless from any consequences or liability for any failure by Applicant to do so.
-
Event Security. While the Venue may provide perimeter security for the Event area during the Event, it is under no obligation to do so, and any security provided by the Venue may be discontinued at any time. Whether or not such security is provided, Applicant shall be solely responsible for the protection of its property and its confidential and proprietary information, and for obtaining insurance (see Section 13) with respect thereto. Organizer shall, in any event, have no obligation to provide security services and makes no representation or warranty whatsoever, and disclaims all liability with respect to security of the premises or Applicant’s goods or equipment. Applicant hereby releases and shall hold Organizer harmless with respect to the same.
-
Limitation of Liability and Timing of Claims. IN NO EVENT SHALL ORGANIZER OR THE VENUE OR ANY OF THEIR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, REPRESENTATIVES, AFFILIATES, AND ASSIGNEES BE LIABLE FOR CONSEQUENTIAL, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR ENHANCED DAMAGES, LOST PROFITS OR REVENUES, OR DIMINUTION IN VALUE, ARISING OUT OF, OR RELATING TO, AND/OR IN CONNECTION WITH THEIR ACTS OR OMISSIONS OR ANY BREACH OF THIS AGREEMENT, REGARDLESS OF (A) WHETHER SUCH DAMAGES WERE FORESEEABLE, (B) WHETHER OR NOT ORGANIZER OR THE VENUE WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND (C) THE LEGAL OR EQUITABLE THEORY (CONTRACT, TORT, OR OTHERWISE) UPON WHICH THE CLAIM IS BASED. IN NO EVENT SHALL ORGANIZER’S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT, WHETHER ARISING OUT OF OR RELATED TO BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, EXCEED THE TOTAL OF THE AMOUNTS PAID TO ORGANIZER PURSUANT TO THIS AGREEMENT. CLAIMS ARISING UNDER OR IN CONNECTION WITH THIS AGREEMENT MUST BE MADE IN WRITING WITHIN THIRTY DAYS AFTER THE LAST DAY OF THE EVENT, AND FAILURE TO GIVE SUCH NOTICE SHALL CONSTITUTE A WAIVER OF ANY CLAIMS.
-
Indemnification. Applicant shall indemnify, hold harmless, and defend the Organizer, the Venue, and their respective officers, directors, employees, agents, affiliates, successors, and permitted assigns (collectively, “Indemnified Party”) against any and all losses, damages, liabilities, deficiencies, claims, actions, judgments, settlements, interest, awards, penalties, fines, costs, or expenses of whatever kind, including attorneys’ fees, that are incurred by Indemnified Party (collectively, “Losses”), arising out of or resulting from (a) injury to the person, property, or business of any person in connection with Applicant’s conduct of its exhibit, (b) Applicant’s construction or maintenance of an unsafe exhibit, (c) any act, omission, negligence, fault, violation of law or ordinance, or misconduct of Applicant, its employees, subcontractors, invitees, or agents, or any breach by Applicant of any agreements, covenants, promises, or other obligations under this Application and Agreement, (d) Applicant’s participation or presence at the Event and/or use of any of the Event facilities, (e) any claim brought by any of its employees, agents, contractors, or invitees against an Indemnified Party in connection with such activity, or (f) Applicant’s actual or alleged infringement of the patent, trademark, copyright, or any other intellectual property rights of a third party including any claim resulting from the use of copyrighted music, dramatic materials, or other property which is used by Applicant in connection with the Event.
-
Insurance. No later than 30 days prior to the Event, Applicant shall furnish Organizer with an insurance certificate reasonably acceptable to Organizer, naming Organizer, Eastside Convention Center, LLC dba Caesars Forum on behalf of Planet Hollywood Resort & Casino Las Vegas, Caesars Enterprise Services, LLC, and Caesars Entertainment, Inc., including their respective parents, subsidiaries, affiliates, and managed entities (and their parents, subsidiaries, and affiliates) that existed or may hereafter exist, and their respective agents, officers, members, directors, employees, successors, and assigns, as additional insureds on a primary basis to the full limits of liability purchased by Applicant, waiving subrogation under its general liability policy, and including a warranty that the insurance will not be diminished or terminated without thirty (30) days prior written notice to Organizer and the Venue. Applicant shall maintain adequate property and liability insurance coverage, including coverage for workers’ compensation, employer’s liability (with limits not less than $1,000,000 per occurrence), commercial general liability (with limits not less than $2,000,000 per occurrence and $4,000,000 in the aggregate), and commercial automobile liability covering owned, hired, and non-owned vehicles (with limits not less than $1,000,000 combined single limit and $1,000,000 uninsured and underinsured motorist). Failure to maintain the insurance required in this Section is a material breach of this Agreement. By requiring such insurance, Organizer does not represent that the coverage and limits will be adequate to protect Applicant, and such coverage and limits shall not limit Applicant’s liability under the indemnities provided in this Agreement or any other provision of this Agreement.
-
Listings and Promotional Materials. Applicant grants Organizer a fully paid, perpetual, non-exclusive license to use, display, and reproduce Applicant’s name, trade names, and product names in any directory (print, electronic, or other media) that lists the applicants participating at the Event and to use such names in Organizer’s promotional materials. Organizer is not liable for any errors or omissions in any show guide listings or descriptions. Organizer shall also have the right to take photographs of Applicant’s booth space, exhibit, and personnel during, before, or after the open hours of the Event and use such photographs for any legal purpose.
-
Organizer Materials. Any materials that are distributed to Applicant related to the planning or execution of the Event, including, but not limited to, the Event Manual, are owned exclusively by Organizer. Organizer grants Applicant a non-transferable, non-exclusive license to use such materials solely in connection with Applicant’s participation in the Event. If Applicant ceases to be an exhibitor at the Event, including at the conclusion thereof, Applicant shall promptly destroy all such materials.
-
Recording of Event. Applicant acknowledges that the Event may be recorded and reproduced in any form (including but not limited to digital formats) and hereby authorizes Organizer and its designees to record, transcribe, modify, reproduce, publicly perform, display, distribute, redistribute, and transmit in any form and for any purpose any such recording of the Event. Applicant hereby releases Organizer and its designees from, and waives all claims it may have, now or in the future, in connection with such activities, and specifically waives any statutory restriction on waivers of future claims or moral rights.
-
Use of Event Insignia. Applicant may not reproduce the Event’s or Organizer’s logo, name, marks, or other insignia on items, documents, or advertising materials, without Organizer’s prior written consent.
-
Force Majeure. No party shall be liable or responsible to the other party, or be deemed to have defaulted under or breached this Agreement, for any failure or delay in fulfilling or performing any term of this Agreement (except for any obligations of Applicant to make payments to Organizer), when and to the extent such failure or delay is caused by or results from acts beyond the impacted party’s (“Impacted Party”) control, including, without limitation, the following force majeure events (“Force Majeure Event(s)”): (a) acts of God; (b) flood, fire, earthquake, epidemic, pandemic, or explosion; (c) war, invasion, hostilities (whether war is declared or not), terrorist threats or acts, riot or other civil unrest; (d) government order, law, or actions; (e) embargoes or blockades in effect on or after the date of this Agreement; (f) national or regional emergency; (g) strikes, labor stoppages or slowdowns, or other industrial disturbances; (h) telecommunication breakdowns, power outages or shortages, lack of warehouse or storage space, inadequate transportation services, or inability or delay in obtaining supplies of adequate or suitable materials; and (i) other events beyond the control of the Impacted Party.
The Impacted Party shall give notice within 10 days of the Force Majeure Event to the other party, stating the length of time the occurrence is expected to continue. The Impacted Party shall use diligent efforts to end the failure or delay and ensure the effects of such Force Majeure Event are minimized. The Impacted Party shall resume the performance of its obligations as soon as reasonably practicable after the removal of the cause. If the Impacted Party’s failure or delay remains uncured for a period of 30 days following written notice given by it under this Section 18, Organizer may thereafter terminate this Agreement upon written notice. If Organizer cancels the event due to a Force Majeure Event, it shall refund to Applicant a pro-rata share of any refunds Organizer receives from its subcontractors but shall have no other liability to Applicant for the cancellation. Organizer shall have no obligation to refund or provide any other relief to Applicant if Applicant has withdrawn prior to cancellation of the Event by Organizer.
-
Assignment. Organizer may assign this Agreement at any time. Applicant may not assign this Agreement or sell, transfer, assign, or sublet to a third party all or any portion of its exhibit space without Organizer’s prior written consent, which consent may be denied in Organizer’s sole discretion. Any purported assignment, sublease, or sublicense in violation of this Section shall be null and void, and no assignment, sublease, or sublicense shall relieve Applicant of any of its obligations under this Agreement.
-
Severability. If any term or provision of this Agreement is invalid, illegal, or unenforceable in any jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other term or provision of this Agreement or invalidate or render unenforceable such term or provision in any other jurisdiction. Upon a determination that any term or provision is invalid, illegal, or unenforceable, the court may modify this Agreement to effect the original intent of the parties as closely as possible in order that the transactions contemplated hereby be consummated as originally contemplated to the greatest extent possible.
-
Choice of Law. This Agreement and all related documents, and all matters arising out of or relating to this Agreement, are governed by, and to be construed in accordance with, the laws of the State of Utah, without regard to the conflict of laws provisions thereof to the extent such principles or rules would require or permit the application of the laws of any jurisdiction other than those of the State of Utah.
-
Choice of Forum. Each party irrevocably and unconditionally agrees that it will not commence any action, litigation, or proceeding of any kind whatsoever against the other party in any way arising from or relating to this Agreement and all contemplated transactions, including, but not limited to, contract, equity, tort, fraud, and statutory claims, in any forum other than the United States District Court for the District of Utah or, if such court does not have subject-matter jurisdiction, the courts of the State of Utah sitting in Utah County, and any appellate court from any thereof. Each party irrevocably and unconditionally submits to the exclusive jurisdiction of such courts and shall bring any such action, litigation, or proceeding only in the United States District Court for the District of Utah or, if such court does not have subject-matter jurisdiction, the courts of the State of Utah sitting in Utah County. Each party agrees that a final judgment in any such action, litigation, or proceeding is conclusive and may be enforced in other jurisdictions by suit on the judgment or in any other manner provided by law. EACH PARTY IRREVOCABLY WAIVES ANY RIGHT TO A TRIAL BY JURY IN ANY ACTION, LITIGATION, OR PROCEEDING ARISING FROM OR RELATING TO THIS AGREEMENT. Applicant agrees that any such action, litigation, or proceeding shall be brought only in Applicant’s individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding.
-
Event Manual. No later than 60 days before the Event, Organizer will send its event manual (the “Event Manual”) to the Contact Person listed above. The Event Manual will include information essential to participating in the Event, including, but not limited to, additional applicant rules and regulations, official contractor order forms, registration, shipping and drayage, utilities and building services, applicant display rules, and final move-in and move-out schedules.
-
No Representations or Warranties; Rules and Regulations; Entire Agreement. Organizer makes no representations or warranties, express or implied, regarding the number, quality, or character of persons who will attend the Event or regarding any other matters. Any and all matters pertaining to the Event and not specifically covered by the terms and conditions of this Agreement or set forth in the Event Manual are subject to Organizer’s sole discretion. Organizer may adopt, amend, or revoke any established rules and regulations from time to time, on reasonable notice to Applicant. Any such rules or regulations, including, but not limited to, those in the Event Manual or any communication from Organizer to Applicant, are hereby incorporated in this Agreement and have the same effect as if set forth herein. This Agreement, including, but not limited to, the Event Manual and any additional rules or regulations adopted by Organizer, states the entire agreement between the parties and may not be amended without Organizer’s written consent. No failure or delay by Organizer in enforcing any provision of this Agreement shall operate as a waiver of that provision or of any other provision, and no waiver shall be effective unless in writing and signed by Organizer. The payment, withdrawal, release, limitation of liability, indemnification, insurance, recording, governing law, and forum provisions of this Agreement, and any other provision that by its nature should survive, shall survive the expiration or termination of this Agreement.
-
Venue Requirements. Applicant acknowledges that Organizer occupies the Venue under a separate agreement with Venue Management (the “Venue Agreement”) and that Applicant’s license to use exhibit space is subject to the Venue Agreement. Any approval, consent, or permission of the Venue or Venue Management required under this Agreement or the Conference Services Guidelines shall also require the prior written approval of Organizer. In addition to the other requirements of this Agreement, Applicant shall, and shall cause its employees, agents, contractors, and invitees to, (a) comply with the Venue’s Conference Services Guidelines, as amended from time to time, a copy of which is available from Organizer upon request; (b) not use the space licensed under this Agreement to exhibit products, services, or target attendees related to a citywide tradeshow, convention, or an in-house group over the same dates as the Event; (c) use the Venue’s exclusive in-house audiovisual provider for all labor, rigging, truss, motors, power, internet, and audiovisual equipment, and not engage any outside vendor within the Venue without the prior written approval of Organizer and Venue Management; (d) not bring any food or beverage into the Venue from outside premises without the express written permission of Organizer and the Venue; (e) obtain, at its sole cost, all business licenses, permits, and tax registrations required by the State of Nevada, Clark County, or any other governmental authority for its activities at the Event, and provide copies to Organizer no later than 45 days prior to the Event; (f) not use the trade names, service marks, or logos of the Venue or its affiliates without the prior written consent of Organizer and Venue Management; (g) not engage a professional photographer or videographer, or film or record the Event for commercial production, without first obtaining the prior written approval of Organizer and entering into a separate site license agreement with Venue Management, provided that Applicant may take photographs and video of its own exhibit for its marketing and social media; (h) not operate any drone or other aerial camera on or near the Venue; (i) prevent any person under the age of twenty-one (21) years from possessing or consuming alcoholic beverages, playing any gambling game or slot machine, or loitering in any gaming area in connection with Applicant’s exhibit, and not aid, assist, or permit any such person to participate in these activities; and (j) not be engaged in the manufacture, sale, or distribution of recreational or medical marijuana, regardless of whether the business is legal under state law, and not engage in the manufacture, sale, possession, facilitation, or consumption of marijuana during the Event. Applicant shall be responsible for any damage to the Venue’s equipment or function space caused by Applicant or its employees, agents, contractors, or invitees, including excessive cleanup made necessary by set-up or tear-down. Any failure by Applicant to comply with this Section or the following Section is a material breach of this Agreement, and Applicant shall reimburse Organizer for any cancellation fee, fine, penalty, or other amount Organizer is required to pay to Venue Management or any governmental authority as a result of such failure.
-
Additional Venue Obligations. Applicant shall also comply with each of the requirements set forth in this Section. (a) Security. Applicant may not bring or engage its own security personnel without the prior written approval of Organizer. Any approved security personnel must be unarmed and furnished at Applicant’s expense by a Venue-approved security firm. (b) Loss and Damage. Neither the Venue nor Organizer will be responsible for the loss or damage of articles left in the Venue before, during, or after the Event. (c) Additional Insurance. The Venue may require additional insurance based on the type of Applicant’s activities, and Applicant shall obtain any such additional insurance. (d) Contractors. Applicant may not engage any contractor to perform work at the Venue in connection with the Event without the prior written consent of Organizer. Applicant shall be responsible for all of its contractors, and they shall be bound by this Agreement and the Conference Services Guidelines, including all insurance requirements and governmental approvals. (e) Guestrooms and Suites. Applicant shall not use any guestroom or suite at the Venue as a meeting room, exhibit room, or showroom, or bring freight, boxes, or crates of equipment into any guestroom or suite, without the prior written approval of Organizer and the Venue. (f) Compliance with Laws. Applicant shall, at its sole cost and expense, comply with all applicable federal, state, county, and municipal laws, regulations, and ordinances. Any Applicant hosting a separate event at the Venue, such as a reception or party, must hold a valid Promoter License issued by Clark County Business Licensing or written confirmation from Clark County Business Licensing that a Promoter License is not required. If Applicant fails to obtain any required license or permit, Organizer may terminate this Agreement without liability to Applicant. (g) Trademarks. Applicant represents and warrants that it owns or has the right to use all trade or service marks it uses in connection with the Event and that such use does not infringe upon the rights of any person or entity. (h) Gaming Regulatory Compliance. The Venue is a licensed casino subject to the authority of gaming regulatory agencies. Applicant shall provide such information as the Venue reasonably requests to comply with its regulatory obligations. Organizer may terminate this Agreement immediately upon written notice, without liability to Applicant, if the Venue determines that Applicant’s participation could adversely affect the Venue’s gaming licenses or that Applicant has failed to comply with any law applicable to its activities, including laws governing anti-corruption, anti-bribery, and anti-money laundering. (i) Fines, Penalties, and Taxes. Applicant shall be financially responsible for all assessments, levies, or penalties of any governmental authority against Organizer or the Venue as a result of Applicant’s or its contractors’ activities, and for all taxes imposed in connection with Applicant’s activities at the Event, including sales and use taxes and any business tax or exhibition facilities fee assessed on account of Applicant’s sales. (j) Venue Action. If the Venue excludes Applicant from the Venue, or cancels the Venue Agreement, as a result of Applicant’s acts or omissions, Organizer may terminate this Agreement without liability to Applicant, and Applicant shall remain liable for all amounts due under this Agreement. (k) Union Facility. The Venue is a union facility and honors all union contracts. Applicant may set up and dismantle its own exhibit to the extent permitted in the Event Manual, but any exposition or decorating services Applicant engages must be performed by an appropriate union trade member. Applicant shall remove its equipment immediately after the conclusion of the Event. (l) Signs. Only professionally made signs may be used, and handwritten signs are not permitted. All hanging signs and banners, including rigging, must be handled by the Venue’s exclusive in-house audiovisual provider. No signs may be affixed to walls, doors, or ceilings or placed on the casino level, at the front desk, or on guestroom floors or walkways. Organizer or the Venue may remove any sign that does not meet these standards, and Applicant is responsible for any resulting damages. (m) Food and Beverage Samples. Any Applicant permitted to dispense food or beverage samples must obtain a Southern Nevada Health District food service permit, ensure that its food and beverage service employees hold all required Clark County training cards, provide any required hand washing station, and limit each sample to no larger than 2 ounces. Any corkage, labor, service, or rental charges imposed by the Venue in connection with such samples are Applicant’s sole responsibility. (n) Fire Codes. Applicant’s exhibit shall comply with all Clark County Fire Department requirements and the Venue’s fire codes and regulations, including the approved floor plan. (o) Loading Dock. Applicant shall coordinate all load-in and load-out times through Organizer. The loading dock may be used only for loading in and loading out, no vehicles may be parked or items stored there, and unattended vehicles or items are subject to removal at the owner’s cost. Applicant is responsible for removing any debris from its load-in and load-out. (p) Smoking. Smoking, including cigarettes, cigars, vapes, e-cigarettes, and cannabis, is prohibited in the convention facilities and is permitted only in designated outdoor smoking areas. (q) Media. Applicant shall not invite press or media to the Event, or issue any press release or media invitation concerning the Event, without the prior written approval of Organizer, and any invited media must be escorted in accordance with the Venue’s media policies.
